GENERAL TERMS AND CONDITIONS

These General Terms and Conditions (these “Terms”) shall apply to any Purchase of a Part. These Terms supersede, cancel, and/or shall prevail over any terms and conditions appearing on a Customer’s Order or any other documentation accompanying Customer’s Order for a Part. Any such terms and conditions on a Customer’s Order or any other document shall be deemed null and void and of no force and effect.

DEFINITIONS

For purposes of these Terms and Conditions, the following definitions apply:

“Kanaph Aircraft Supply” shall mean “Kanaph Aircraft Supply LLC” a Limited Liability company registered and located in Miami FL.

“Customer” means any person or entity that is purchasing or receiving any product from Kanaph Aircraft Supply.

“Products” means any material, part, component, process, or item sold or provided by Kanaph Aircraft Supply.

SEARCH AND PROCUREMENT SERVICE.

Parts, products, items and components sold by Kanaph Aircraft Supply are sourced directly from the manufacturers (or its distributors) and vendors.

WARRANTY

Customer acknowledges that it will look solely to the warranty(ies)‚ if any‚ provided by the manufacturer and that Kanaph Aircraft Supply LLC makes no warranties on its own behalf whether express implied or statutory‚ including‚ but not by way of limitation‚ any warranty of merchantability‚ fitness for a particular purpose‚ course of dealing‚ course of performance or usage of trade.

All items sold through Kanaph Aircraft Supply are sold “as-is” or “with all faults.” the entire risk as to the quality and performance of these items is with the customer. Should any of these items prove defective, do not function, or function improperly in any way following their purchase, the buyer, and not the manufacturer, distributor, assumes the entire cost of all necessary servicing or repair.

SHIPPING

Shipping dates are given at the best of Kanaph Aircraft Supply LLC’s knowledge based upon conditions existing at the time the order is placed, and information furnished by the vendor or manufacturer and the customer. Kanaph Aircraft Supply LLC will‚ in good faith‚ endeavor to ship by the estimated shipping date but shall not be responsible for any delay or any damage arising from its failure to ship by the estimated shipping date.

Delivery terms are EX Works (Incoterms 2010). Kanaph Aircraft Supply will ship via Seller’s selected method of shipment and selected carrier, all at Customer’s risk and expense.

BACKORDERED PRODUCTS

Out-of-stock/non-stock/Back-ordered products are subject changes, including but not limited to minimum order quantity, price adjustments, and may involve extended lead times.

Customer agrees to pay any minimum buy fees, processing fees, or any other charges incurred by Kanaph Aircraft Supply LLC on out-of-stock/non-stock/Back-ordered products.

PRICING

All quotations are made for immediate acceptance and are subject to change without notice prior to acceptance and will remain valid for 48 hours.

All prices are expressed and payable in U.S. Dollars.

Customer shall be responsible for any price adjustment necessitated by Kanaph Aircraft Supply, any taxes including without limitation sales, use, value-added, withholding, goods and services tax, excise, imposts, duties, any other taxes imposed or withheld by any taxing authority, and any other related charges and fees of any nature together with any fines, penalties or interest as a result of any Purchase, Rental, Exchange, sale, use, delivery, storage, transfer or otherwise of any Parts, or any other matter in connection with these Terms (collectively “Taxes”).

3.7% Credit Card Processing fee will be added to the total amount. $16.00 will be charge if paid by Wire-transfer.

Kanaph Aircraft Supply reserves the right to correct any inaccurate invoices.

Kanaph Aircraft Supply LLC reserves the right to require an order amount for each line item or per delivery

All Orders are non-cancelable and non-returnable unless Customer is issued a return material authorization (“RMA”) in writing by Kanaph Aircraft Supply or the manufacturer.

LIMITATION OF LIABILITY

In all circumstances Kanaph Aircraft Supply’s maximum liability is limited to the purchase price of the products sold. Kanaph Aircraft Supply shall not, under any circumstances, be liable upon a claim or action in contract, tort, indemnity or contribution, or other claims relating to the products it sells which exceeds this liability limit. Kanaph Aircraft Supply shall not be liable for third party claims for damages against the customer, or for malfunction, delays, interruption of service, loss of business, loss or damage to exemplary damages, whether or not Kanaph Aircraft Supply has been made aware of the possibility of such claims or damages.

GOVERNING LAW AND JURISDICTION.

Any dispute arising out of or related to these Terms and Conditions or the sales transaction between Kanaph Aircraft Supply and Customer shall be governed by the laws of the State of Florida, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods Kanaph Aircraft Supply and Customer consent to the exclusive jurisdiction and the exclusive venue of the State Courts of the State of Florida, Miami-dade County, to resolve any dispute between them related hereto, and the parities waive all rights to contest this exclusive jurisdiction and venue of such Courts. Finally, the Customer also agrees not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against Kanaph Aircraft Supply that is more than one year after the date of the applicable invoice.
